Terms of Service

These Terms of Service ("Terms") govern your access to and use of LeanReport.io ("the Service"), operated by Rhys Heaven-Smith, sole trader ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
1. Eligibility
By using the Service, you confirm that:
- You are at least 18 years old.
- You have the authority to enter into a binding agreement.
- If you are using the Service on behalf of an organisation, you have the authority to bind that organisation to these Terms.
2. Our Service
LeanReport.io provides tools that allow users to upload CSV or similar maintenance data exports, process that data, and generate analytics, reports, and insights.
We may update, modify, or discontinue features of the Service at any time. We will endeavour to provide notice when changes materially affect your use.
3. User Accounts
You are responsible for:
- Maintaining the confidentiality of your login details.
- Ensuring the accuracy of the information you provide.
- All activity conducted under your account.
We may suspend or terminate accounts for violations of these Terms.
4. Payment & Subscriptions
4.1 Pricing
Pricing is listed on our website and may change. Any price changes will take effect at the start of your next billing cycle.
4.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually). You authorise us and our payment processor (Stripe) to charge your chosen payment method.
4.3 Refunds
We may offer refunds at our sole discretion. Except where required by law, subscriptions are non-refundable once charged.
4.4 Taxes
You are responsible for any applicable taxes, duties, or levies.
5. User Data
5.1 Ownership
You retain all rights to the data you upload to the Service ("User Data"). By uploading User Data, you grant us a licence to process, analyse, and store it solely for the purpose of providing the Service.
5.2 Backups & Data Loss
We take reasonable measures to secure and back up data, but we do not guarantee against data loss. You are responsible for maintaining your own backups.
5.3 Compliance
You must ensure that your use of the Service and your User Data complies with all applicable laws, and that you have all necessary permissions to upload and process the data.
6. Acceptable Use
You must not:
- Use the Service for unlawful or harmful activities.
- Attempt to access unauthorised areas or interfere with system integrity.
- Reverse-engineer, decompile, or attempt to derive the source code.
- Upload malicious files or content.
- Use the Service to create competing datasets or products by scraping, duplicating, or replicating the system for external commercial use.
We may suspend or terminate access for violations.
7. Intellectual Property
All software, content, features, and materials provided through the Service (excluding User Data) are owned by us or licensed to us. You receive a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.
You may not resell, redistribute, or commercially exploit the Service or its outputs without our written permission.
8. Third-Party Services
The Service integrates with third-party providers such as Stripe, Supabase, and OpenAI/Anthropic for processing, hosting, and billing. Your use of those services is subject to their respective terms and policies.
We are not responsible for the actions, availability, or data handling practices of third-party providers.
9. Availability & Performance
We strive for reliability but do not guarantee:
- uninterrupted access,
- real-time performance, or
- error-free operation.
Maintenance, updates, and third-party outages may affect availability.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available".
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, merchantability, and accuracy of outputs.
Insights and reports generated by the Service are interpretative tools only. You remain solely responsible for decisions based on those outputs.
11. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, consequential, special, or exemplary damages.
- Our total liability for any claim is limited to the amount paid by you to us in the 6 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability where such exclusion is prohibited under New Zealand law.
12. Indemnification
You agree to indemnify and hold harmless LeanReport.io, its owner (Rhys Heaven-Smith), and contractors from any claims, liabilities, damages, losses, or expenses arising from:
- your use of the Service,
- your User Data,
- your breach of these Terms, or
- any violation of laws or third-party rights.
13. Termination
We may suspend or terminate your access if:
- you breach these Terms,
- we detect suspicious or harmful activity, or
- continued use poses security or legal risk.
Upon termination:
- your access ends immediately,
- we may delete your data after a reasonable period unless required by law to retain it.
You may cancel at any time via Stripe's customer portal.
14. Governing Law
These Terms are governed by the laws of New Zealand. Disputes shall be resolved exclusively in the courts of New Zealand.
15. Changes to the Terms
We may update these Terms at any time. Updates are effective upon posting. Continued use of the Service constitutes acceptance of the updated Terms.
